Swisscom has received regulatory approval for its acquisition of Vodafone Italia. Both the Italian Competition Authority and the Ministry of Enterprises and Made in Italy have cleared the transaction, paving the way for the creation of a significant converged telecommunications player in the Italian market.
The Italian Competition Authority’s approval, granted on December 20, 2024, came with conditions. Swisscom agreed to behavioural commitments, including continued wholesale service provision to other operators—following the model established by its subsidiary Fastweb—and information sharing in public tenders for fixed telephony and connectivity. An independent trustee will oversee compliance with these commitments for three years.
The Ministry of Enterprises and Made in Italy (MIMIT) also gave its approval on December 19, 2024, following positive assessments from the Italian Authority for Communications and the Italian Competition Authority. This clearance covers the change of control over Vodafone Italia’s spectrum licenses.
Swisscom anticipates the deal’s completion by the first quarter of 2025. The combined entity will utilize the fixed and mobile infrastructures of Fastweb and Vodafone Italia to provide improved services to Italian consumers and businesses.
